Concentra Offers Flu Vaccines To Keep America Working

Concentra, the largest occupational health care provider with 320 centers across the nation, has launched a campaign to educate America’s workforce about the flu, how it is spread, and how to protect against it. The company expects to vaccinate nearly 300,000 people across the nation, saving businesses more than $200 million in lost productivity.

Concentra Medical Centers offers flu shot to various businesses and communities to keep America’s workforce healthy. Working with more than 150,000 of the country’s largest employers, as well as 250 employer-based health facilities, Concentra creates health solutions to keep employees well, fit, and safe – especially during the flu season.

Concentra Offers A Cure ‘For What Ails You’

Beginning in October, Concentra is on a mission to find a cure For What Ails You. This new theme is at the core of Concentra’s newest campaign to introduce its Urgent Care centers to various communities in the coming year, beginning with the launch of Urgent Care centers in the Detroit metropolitan area.

The For What Ails You campaign is designed to promote Concentra’s quality patient care for typical injuries and illnesses, as well as a cure for the high price of emergency services and the headaches associated with limited availability of primary care physicians particularly after normal business hours. Various print and radio ads will be featured throughout the Detroit market, along with billboard ads, posters, wallet cards, flyers, and magnets all featuring the For What Ails You messaging.

“This ad campaign uses humor to shed light on the issues we all face when having to make urgent decisions on where to seek appropriate medical care for non-life threatening illnesses and injuries,” said Assistant Vice President of Sales for Concentra, Rick Zidek. “Concentra Urgent Care is poised to address these issues with quality and efficient patient care, at times when most primary care physicians are unavailable and without the extensive wait times of an ER. Concentra Honored With Silver Health At Worksm Award By Compsych® Corp.

Concentra was recently announced as a silver winner in the third-annual Health at Work Awards, sponsored by ComPsych Corporation. Concentra was selected based on its wellness program’s comprehensiveness, accessibility, promotion, participation rates and achieved results.

Concentra Opens New Medical Center In Lawrenceville

Concentra, a leader in providing affordable and accessible health care, recently completed construction on a new Concentra Medical Centers location at 860 Duluth Highway, Lawrenceville, Ga. This new medical center officially opened on July 23, 2007 and offers both traditional occupational medicine and urgent care services in one convenient location.

The new and larger location features separate entrances and patient waiting areas to better serve a variety of injuries and illnesses. All patient files from the original location at 1900 Riverside have been transferred to the new center, which features easier access and extended operating hours. Concentra physicians are Board-certified, or have received practical and specialized training in health care. “With the completion of this new center, Concentra continues to provide valuable health care services to the Lawrenceville community in a new and improved facility,” said Area Medical Center Director Deb Dailey.

Concentra’s mission is to make health care available and affordable, and achieves that by offering a wide array of medical services to address most injuries, illnesses, or conditions. The company maintains 14 medical care facilities in Georgia, including seven Urgent Care centers, which help bridge the gap between primary care physicians and the emergency room.

Concentra Opens On-Site Medical Unit At World Trade Center Site

Concentra, a leader in on-site employer health care, recently established an on-site medical clinic at the construction site of the former World Trade Center in New York. The clinic offers construction workers a convenient way to treat work related injuries.

Concentra clinicians at the World Trade Center site treat construction personnel, building partners, and other individuals that are involved in the construction efforts at the site for any non-emergency issues, such as minor cuts and dust particles blown into the eyes. The on-site medical office was created in coordination with American International Group and Aon at the direction of the Port Authority of New York and New Jersey.

Mary Regina Shane, RN knows first-hand the destruction of 9/11, having survived the terrorist attacks at the World Trade Center. During the 1993 car bombing on the WTC site and again in 2001, Shane worked in the Twin Towers as an associate for Verizon. Now a registered nurse for Concentra, Shane has returned to the site in the medical office.

“Being a 9/11 survivor, I felt it important to return to the site and contribute to the preservation of all those who lost their lives on that fateful September day,” said Shane.

The on-site medical office opened in late-July to accommodate any injuries that can occur during building construction. Concentra Acquires Assets of Renew Health & Wellness

Concentra recently announced that it has acquired Renew Health & Wellness, LLC d/b/a WorkWise, consisting of two occupational health centers located in Birmingham and Bessemer, Ala. The Bessemer location will be consolidated into the existing Concentra Medical Center.

The acquisition of WorkWise increases Concentra's presence to two total centers in the Birmingham market. Bill Lupinacci, M.D., will join the team as an affiliated physician for Concentra’s Birmingham location.

Concentra Expands Horizon Air Employee Health Program with On-site Clinic

("BHS"), which includes five fully dedicated occupational health care centers in the Detroit and Ann Arbor markets. The acquisition of these centers expands Concentra’s geographic footprint to 23 centers in Michigan.

In addition to the five health care centers, BHS also operated three on-site medical facilities providing episodic care, wellness programs, and health fairs for local employers. Milt DuPuy, M.D., and Joe Hymes, BHS executive director, have joined the company as the Detroit Medical Director and Michigan Director of Operations, respectively.

Concentra Hits Home Run With Urgent Care Centers

On Tuesday August 21, Concentra will sponsor an evening of fun and fitness with the Frisco RoughRiders, launching a new tool in sports injury prevention.

Concentra’s Urgent Care Medical Centers have teamed with the Frisco RoughRiders, developing a Sports Injury Prevention handbook packed with tips and treatments commonly associated with athletic activities. The handbook draws upon the near 30 years of medical expertise Concentra has been providing as a leader in on-site and urgent care health services.

Concentra Promotes Better Eats And Heart Beats At Festival In Michigan

Beginning on August 31, 2007, Concentra is hosting a four-day Health and Wellness Expo at the largest festival in Michigan, the Chrysler Arts, Beats and Eats Festival in Pontiac, Mich.

Committed to promoting better health practices, Concentra will present a Health and Wellness Expo where visitors can test body mass index, receive a blood pressure reading, measure grip strength and obtain valuable health tips from Concentra physicians and clinicians.

Visitors who complete all three health information stations will receive a personal wellness form and prize from Concentra’s Urgent Care facilities, recently expanded in the greater-Detroit area. One lucky visitor will receive a seven nights, all-expense paid trip to the Rui Ocho Rios Resort in Jamaica, from FunJet Vacations and Concentra Urgent Care.

Concentra Announces Closing of Separation Transaction

Network Services Division is now Viant, Inc.

Effective June 25, 2007, Concentra completed the transaction separating its two main operating units, Concentra Health Services and Concentra Network Services, into separate companies.  The Health Services business is now Concentra Inc., and the Network Services group health business is now officially called Viant, Inc.  The companies believe the separation will position the organizations for optimal success by allowing greater strategic focus on their individual core strengths, key clients, and specific areas of health care.

Concentra Operating Corporation Announces Commencement of Exchange Offers in Connection with Planned Separation of its Two Principal Operating Segments

ADDISON, Texas, May 24, 2007 – Concentra Operating Corporation ("Concentra Operating") today announced that its parent, Concentra Inc. ("Concentra" or the "Company") has commenced offers to Eligible Holders (as described below) to exchange a combination of cash and $185 million in aggregate principal amount of a new series of 9 7/8% Senior Subordinated Notes due 2017 ("Viant Notes") of Concentra Operating's newly formed, wholly owned subsidiary, Viant Holdings, Inc. ("Viant"), for any and all of Concentra Operating's $155 million in aggregate principal amount of 9 1/8% Senior Subordinated Notes due 2012 (CUSIP 20589QAM1) and $180 million in aggregate principal amount of 9 1/2% Senior Subordinated Notes due 2010 (CUSIP 20589QAE9) (together, the "Old Notes").

In conjunction with the exchange offers, Concentra is also soliciting consents to amend the indentures governing the Old Notes.  Concentra will pay the applicable consent payment to each Eligible Holder of Old Notes only if the holder has delivered and not revoked a valid consent by the consent payment deadline. Consummation of the exchange offers is subject to a number of conditions, including the absence of certain adverse legal and market developments and the valid tender of at least $185 million aggregate principal amount of the Old Notes prior to the expiration of the exchange offers and the receipt of valid consents, not validly revoked, from the holders of a majority in principal amount of each series of Old Notes.

Concentra has entered into these exchange offers in connection with the anticipated separation of its two principal operating segments, Health Services and Network Services. Concentra's Health Services segment, which includes its Auto Injury Solutions business, and its Network Services segment focus on significantly different aspects of the healthcare industry. The Company believes that the separation of these two business segments will provide each company with greater strategic focus and will accomplish other related business purposes.

Specifically, to complete the separation:

  • Concentra Operating formed Viant in April 2007 as a new wholly owned subsidiary.
  • Prior to the separation, Concentra Operating would merge with and into Concentra, with Concentra continuing as the surviving corporation.
  • In order to finance a portion of the transactions contemplated in connection with the separation, Concentra would borrow approximately $485 million in senior secured indebtedness and would obtain a $75 million revolving credit facility and Viant would borrow approximately $275 million in senior secured indebtedness and would obtain a $50 million revolving credit facility.
  • Concentra would contribute its Network Services business to Viant in exchange for additional shares of Viant common stock, $185 million in aggregate principal amount of Viant Notes and approximately $260 million in cash (subject to downward adjustment in the event that a pending acquisition is not consummated).
  • Concentra would retire its current senior secured indebtedness using the cash proceeds received from Viant and a portion of the cash proceeds borrowed under Concentra's new senior credit facilities.
  • Concentra would pay a cash dividend to its stockholders of approximately $350 million.
  • Concentra would distribute to its stockholders as a dividend all of the Viant common stock pro rata to complete the separation of its Network Services business from its Health Services and Auto Injury Solutions businesses.
  • Concentra would consummate the exchange offers and complete the related consent solicitation to amend the indentures governing Concentra Operating's outstanding senior subordinated notes.

The Viant Notes will be Viant's general unsecured obligations and will be subordinated to all existing and future senior debt of Viant. Concentra's new senior credit facilities will replace the Company's existing revolver and term loan facilities.

The offerings are only made, and copies of the offering documents will only be made available to, holders of Old Notes that have certified certain matters to the Company, including their status either (i) as "qualified institutional buyers" within the meaning of Rule 144A under the Securities Act of 1933 or (ii) as a person who is not a "U.S. person" as defined in Rule 902 under the Securities Act of 1933 ("Eligible Holders"). An offering circular will be distributed to Eligible Holders and is available to Eligible Holders through the information agent, Global Bondholder Services Corporation, at 866-470-4200 or 212 430 3774.

The following provides a brief summary of key elements of the exchange offers:

  • The exchange offers will expire at 12:00 midnight, New York City time, on June 21, 2007, unless extended or terminated.  Tenders of Old Notes may be withdrawn at any time prior to 5:00 p.m., New York City time, on June 7, 2007, subject to extension.
  • The Company is offering to exchange, for each $1,000 principal amount of Old Notes, a combination of cash and New Notes.  The total exchange price will include a consent payment of $20.00 per $1,000 principal amount of Old Notes payable only to Eligible Holders of Old Notes that tender and do not validly withdraw their Old Notes at or before 5:00 p.m., New York City time, on June 7, 2007, subject to extension.  Since the aggregate amount of New Notes will be limited to $185 million principal amount, if the aggregate principal amount of Old Notes validly tendered exceeds $185 million, the New Notes will be allocated among tendering holders on a pro rata basis and, in such event, the cash portion of the total consideration received by tendering holders will be increased accordingly.
  • The total exchange price for the Old Notes will be determined in the manner described in the offering circular by reference to a fixed spread of 50 basis points over the yield to maturity of the reference treasury securities (as defined in the offering circular) as calculated by the dealer managers at 2:00 p.m., New York City time, on June 7, 2007.
  • The Viant Notes will mature on July 15, 2017 and will bear interest at an annual rate of 9 7/8%.

The Viant Notes have not been registered under the Securities Act or any state securities laws.  Therefore, the Viant Notes may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and any applicable state securities laws.

Concentra Expands Urgent Care Services

Opens Urgent Care Centers in Atlanta and Dallas

ADDISON, Texas, April 16, 2007 – Concentra Health Services, Inc. ("Concentra"), a leading provider of occupational health care services, announced today that it has expanded its presence with the opening of Concentra Urgent Care centers in Atlanta, GA, and Dallas, TX. The openings mark the launch of an aggressive expansion plan and join existing Concentra Urgent Care centers in Greater Detroit, MI; Flagstaff, AZ; and Houston and Waco, TX.

With over twenty-five years in the health care industry, Concentra clinicians and staff treat over 500,000 injuries annually. Concentra and Coventry Sign Definitive Agreement

Concentra and Coventry Health Care, Inc., have entered into a definitive agreement whereby Concentra’s workers’ compensation managed care businesses and pharmacy benefit management operations will be acquired by Coventry. The new combined workers’ compensation cost management operations are expected to deliver broad, effective, and efficient solutions for claims payers and employers.
